Terms & Conditions

These Terms & Conditions (“Terms”) are a legal agreement between you and IonkoCRM, operated by [OPERATOR LEGAL NAME, e.g. IonkoCRM LLC] (“IonkoCRM”, “we”, “us”, “our”), and govern your access to and use of the IonkoCRM website and web application (together, the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that, if you use it on behalf of a business or other organization, you are authorized to bind that organization to these Terms.

2. Your account

You must provide accurate information when you register and keep it up to date.
You are responsible for keeping your password confidential and for all activity under your account. Notify us promptly at omniplexdesign@gmail.com if you suspect unauthorized use.
We may require you to verify your email address before or shortly after you begin using the Service.
You are responsible for maintaining your own backups of important data. While we take care to protect your data, you should not rely on the Service as your only copy.

3. Plans, fees, and billing

The Service currently offers a free plan. We may offer paid plans and features in the future.

Placeholder — paid plans not yet active. When paid plans launch, this section will set out the fees, billing cycle, taxes, automatic renewal, cancellation, and refund terms, and will name our payment processor. Until then, no fees are charged for the Service.

Draft terms to enable when billing goes live: Fees are billed in advance on a recurring basis through [PAYMENT PROCESSOR, e.g. Stripe]; plans renew automatically until cancelled; you can cancel at any time and will retain access through the end of the paid period; fees are [non-refundable / refundable per policy]; and you are responsible for applicable taxes.

4. Your content and responsibilities

“Your Content” means the data you enter or upload into the Service — including your business information and the information you keep about your customers and clients (contacts, invoices, quotes, ledgers, emails, notes, and files).

You own Your Content. We do not claim ownership of it.
You grant us a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you, and as directed by you (for example, to send an email you compose).
You are responsible for Your Content and for the rights to use it — including collecting and handling your customers’ personal information lawfully, providing any required notices, and obtaining any required consents. As described in our Privacy Policy, you are the controller of your customers’ data and we act as your processor.
You must not upload content that is unlawful, infringing, or that you do not have the right to store or send.

5. Acceptable use

You agree not to:

use the Service for any unlawful, fraudulent, or harmful purpose;
send spam or unlawful, deceptive, or unsolicited messages using the email feature, or otherwise violate applicable anti-spam and marketing laws (such as the U.S. CAN-SPAM Act);
upload malware or attempt to gain unauthorized access to the Service, other accounts, or our systems;
probe, scan, or test the vulnerability of the Service, or defeat or interfere with its security or rate-limiting features, except with our prior written permission;
reverse engineer, copy, resell, or create derivative works of the Service, except where such restriction is prohibited by law;
use the Service to store or transmit others’ personal data unlawfully, or to infringe intellectual-property or privacy rights;
place an unreasonable load on our infrastructure or interfere with other users’ use of the Service.

We may investigate and take appropriate action, including suspending or terminating accounts, for violations.

6. Email-sending feature

The Service lets you send emails to your clients using outgoing mail (SMTP) settings you provide. You are solely responsible for the content of those emails, for having a lawful basis to contact your recipients, for honoring opt-out/unsubscribe requests, and for complying with all applicable laws. You are responsible for your relationship with, and any terms of, your chosen mail provider. We are not responsible for the delivery, non-delivery, or content of emails you send.

7. Privacy

Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.

8. Our intellectual property

The Service, including its software, design, text, and branding (excluding Your Content), is owned by IonkoCRM and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

9. Third-party services

The Service relies on third-party providers (for example, our host and the security-challenge provider) and may interoperate with services you connect, such as your outgoing mail provider. We are not responsible for third-party services, and your use of them may be subject to their own terms.

10. Availability and changes

We work to keep the Service available and reliable, but we provide it on an “as available” basis and do not guarantee uninterrupted or error-free operation. The Service is under active development; we may add, change, suspend, or discontinue features at any time. We will try to give reasonable notice of significant changes where practical.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IONKOCRM AND ITS OWNER(S), MEMBERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) [US $100]. Because the Service may be offered free of charge, you acknowledge that this limit may be zero or nominal. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless IonkoCRM and its owner(s), members, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your violation of any rights of a third party, including your customers.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. We will handle your data as described in our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of [STATE], United States, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in [COUNTY/CITY, STATE] for any dispute not subject to another agreed process. Before filing a claim, you agree to first contact us at omniplexdesign@gmail.com and attempt to resolve the matter informally for at least 30 days.

Optional: if you later decide to require binding arbitration and/or a class-action waiver, this is where those clauses would go. These significantly affect users’ rights and should be added with legal advice.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide a more prominent notice. This page is always the current version. Your continued use of the Service after an update means you accept the revised Terms.

17. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements.
Severability. If any provision is held unenforceable, the rest remains in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
